An overview of the formal document in plain language

for Certified Hellerwork Practitioners

The following has been written in order to explain to you the written and legal jargon of the formal HWI LLC Agreement, in more straightforward language. The purpose here is to ensure that you can clearly understand this organization’s structure and how it works.

As a Certified Hellerwork Practitioner and member of your Regional Practitioner Association, you are a very important and valued member of the Hellerwork International (HWI) organization and community, which has a unique Company Structure that offers all members a chance to be involved in Hellerwork International’s future development and global growth.

History:

In 2008 an incredible opportunity arose when the Founder of Hellerwork, Joseph Heller, gifted to each existing Regional Practitioner Association equal shares and stewardship of ALL materials pertaining to Hellerwork. A Limited Liability Company (LLC) was then formally created on September 30th 2008, by the three Regional Practitioner Associations (RPAs) –

  • American Hellerwork Structural Integration Association (AHSIA) representing the United States of America
  • Canadian Hellerwork Association (CHA) representing Canada and Europe
  • Hellerwork Association of New Zealand (HANZ) representing New Zealand and Australia

Two Key Points regarding Our LLC’s Legal Structure:

1. HWI LLC is the Company owned by the three RPAs. It is our Legal Entity, that outlines how our organization is to be run and managed.

2. HWI’s Board of Managers are members appointed by the three RPAs to run and manage the business of the Company. The Board of Managers are both answerable to and working for the three RPA’s.

The Regional Practitioner Associations (RPAs):

The RPAs are the vehicles by which you are both a Certified Hellerwork Practitioner and a formal Member of our organization.

The RPAs are legal individual entities which meet the legal requirements of their individual countries of registration. They each have their own governing Boards, which are required to have their members and Association Governing Boards meet the standards and bylaws for operating and for accountability. For example, AHSIA, CHA and HANZ each have their own standards and bylaws pertaining to their own countries and regions, while HWI has it’s Member Certifying Standards.

The RPAs are able to grow, develop and expand their own business interests as their members so wish. HWI LLC cannot interfere with the RPA’s business unless it affects the HWI standards and bylaws – such as ethical misconduct or anything that would reflect or belittle the approved standards required for ALL certified practitioners and members.

Please note the RPAs cannot legally overturn a motion that pertains to all, once it is voted on and passed at the HWI LLC Board level, unless it has been duly amended at the HWI LLC Board level and re-voted on – for example the setting of Annual Re-certifying HWI Membership fees.

For both the modality of Hellerwork Structural Integration and the HWI organization to evolve and expand globally, it is the RPA’s practitioner members and their working committee’s that have the potential to actively grow and develop Hellerwork in creative and productive ways.

RPAs are also responsible for administering and producing the official Hellerwork Practitioner Trainings. A Hellerwork Practitioner Training can take place in any location, with the only limits being the legal boundaries and protocols required by the location country and/ or state and HWI LLC.

The Owners of the HWI LLC:

The HWI LLC is owned by the three current RPAs – CHA, HANZ, and AHSIA. The Presidents of these RPAs are the Owner Representatives and Signatories for all of HWI LLC’s major legal matters.

This Company is designed to have fair representation from and for its Practitioner Members.  ALL motions, all voting, and all rule amendments of HWI LLC is done with and through the HWI LLC Board of Managers NOT with the three RPA Presidents.

The Board of Managers of the HWI LLC:

The Board of Managers is made up of a cross section of Certified Practitioners and/or with select outside personnel (such as the Administrator) filling the required roles. This Board is the ‘business hub’ – dealing with and overseeing all HWI business interests. This Board also oversees valuable committee groups such as the Education Training Committee and others.

HWI LLC is the holder/protector and overseer of all things Hellerwork. This includes all Trademarks, Training Education, Training Standards, Generic Marketing, Continued Education Requirements and any Ethical concerns.

HWI LLC is the certifying Body for all HWSI Practitioners, along with overseeing all annual recertification requirements for all our current Practitioner Members. The main product and largest tangible item of HWI LLC is the Hellerwork Structural Integration Practitioner Training Program (HWSIPTP).

General Information:

All growth and expansion in Hellerwork both locally and globally is reliant on our body of

enthusiastic and productive Certified Practitioners.

There are often vacant positions throughout the organization which would suit many individual’s natural attributes, e.g.. leaders, teachers, trainers, tech savvy people, wisdom keepers, RPA committee leadership roles, business wisdom, and HWI Board Leadership roles. Currently many positions are voluntary, but we are a business and our LLC agreement is written to enable possible future debentures (a long term bond or agreed arrangement, for example in lieu of Annual Fees) or remuneration for the hard working individuals.

HWI LLC and our RPA’s working committees encourage and desire interaction with you as a valued Certified Practitioner Member, so we can simply better serve you all. Your presence and participation are always welcome in any RPA/HWI Board meeting (you can only officially vote if you are an actual recorded voting member of a Board) and your voice may well contribute to the ripple of further development of this Company.
